ՀԱՕԿ-ի պարզաբանումը Ծաղկաձորի ճոպանուղու շուրջ ստեղծված իրավիճակի վերաբերյալ

ՀԱՕԿ-ը ձեռնարկելու է ՀՀ օրենսդրությամբ սահմանված բոլոր միջոցները, ինչպես արդեն իսկ հարուցված քրեական գործի շրջանակներում ՀԱՕԿ-ին  պատճառված հնարավոր վնասների վերականգնման, այնպես էլ, որպես «Լեռնատուր»  ՍՊԸ-ի մասնակից՝ հնարավոր վնասների վերակագնման ուղղությամբ: Այս մասին ասվում է ՀԱՕԿ-ի տարածած հայտարարության մեջ:

 

Հայտարարության մեջ, մասնավորապես, ասվում է.

 

 

Ընկերության գլխավոր տնօրենի վարքագիծը հիմք է  հանդիսացել  վերջինիս նկատմամբ վստահությունը կորցնելու համար և ՀԱՕԿ-ի կողմից Ընկերության գործունեության նկատմամբ հսկողությունը խստացվել է:  Արդեն 2017թ. օգոստոսին, ՀԱՕԿ-ի գլխավոր քարտուղար  Հրաչյա Ռոստոմյանի առաջարկությամբ հրավիրվել է  «Լեռնատուր» ՍՊԸ մասնակիցների արտահերթ ընդհանուր ժողով՝ Ընկերության գլխավոր տնօրենին պաշտոնից ազատելու օրակարգով: Ժողովի 18.08.2017թ. N 17/01-Ա որոշմամբ «Լեռնատուր» ՍՊԸ գլխավոր տնօրենն ազատվել է   պաշտոնից: Նույն որոշմամբ գլխավոր տնօրեն նշանակվել է նոր անձ: Նոր տնօրենի պաշտոնավարման ընթացքում պարզվել է, որ Ընկերության եկամուտներն անհամեմատ ավելին են, քան եղել են նախկին տնօրենի պաշտոնավարման ընթացքում, ինչն ակնհայտ է եղել:

 

«Լեռնատուր» ՍՊԸ գործունեության 2017թ. տարեկան արդյունքներն ամփոփելուց հետո, հաշվի առնելով, որ նոր գլխավոր տնօրենի կառավարման ժամանակահատվածում լեռնադահուկային սեզոնն ընդգրկել է միայն 2017-2018թ. ձմեռային սեզոնը, ՀԱՕԿ-ը եկել է  այն եզրահանգման, որ 2018-2019թթ. ձմեռային սեզոնի ժամանակ պետք է իրականացվի ներքին մշտադիտարկում, որից հետո դիմել է աուդիտորական կազմակերպությանը՝ կատարելու ուսումնասիրություններ և  ստուգումներ Ծաղկաձորի ճոպանուղու շահագործման ընթացակարգերի վերաբերյալ: Այդ նպատակով ՀԱՕԿ-ի և լիցենզավորված աուդիտորական կազմակերպության միջև 14.02.2019թ. կնքվել է Համաձայնեցված ընթացակարգերի վերաբերյալ N Ս-02-19 պայմանագիր:

 

Աուդիտորական կազմակերպության կողմից արձանագրվել են անհամապատասխանություններ հավատարմագրային կառավարիչ «Լեռնատուր» ՍՊԸ-ի 2009-2016թթ. ֆինանսական հաշվետվությունների բացակայության, ինչպես նաև  2009-2016թթ. և 2017-2018թթ. եկամուտների անհամաչափության հետ կապված, և առաջարկություններ են ներկայացվել ՀԱՕԿ-ին՝ ձեռնարկել գործողություններ իրավունքների պաշտպանության և հնարավոր պատճառված վնասի վերականգնման ուղղությամբ:

 

Հաշվի առնելով վերոգրյալը, ինչպես նաև այն հանգամանքը, որ ՀԱՕԿ-ը Հավատարմագրային կառավարման պայմանագրով հիմնադիր լինելուց բացի, որը պետք է ստանար ճոպանուղու շահագործման արդյունքում ստացված զուտ շահույթի 50 տոկոսը, հանդիսանում է նաև Լեռնատուր ՍՊԸ-ի 50 տոկոս բաժնեմասի սեփականատերը (որը իրավունք է վերապահում ՀԱՕԿ-ին ստանալ «Լեռնատուր» ՍՊԸ-ից շահաբաժին, այսինքն ՀԱՕԿ-ը իրավունք ունի ստանալու ճոպանուղու շահագործման արդյունքում ստացված զուտ շահույթի 75 տոկոսը), ՀԱՕԿ-ը ձեռնարկելու է ՀՀ օրենսդրությամբ սահմանված բոլոր միջոցները, ինչպես արդեն իսկ հարուցված քրեական գործի շրջանակներում իրեն պատճառված հնարավոր վնասների վերականգնման ուղղությամբ, այնպես էլ, որպես «Լեռնատուր»  ՍՊԸ-ի մասնակից՝ հնարավոր վնասների վերակագնման համար:

 

Ծաղկաձորի ճոպանուղին տարիներ շարունակ թաքցրել է հարկերը. Վնասը կազմել է ավելի քան 476 մլն դրամ. Քրգործ է հարուցվել:
